'Netmarble Partner Creator Plus' Creator Terms of Service

1. Purpose

The purpose of these Terms is to clearly define the rights and obligations of Netmarble and Creators and other matters related to the use of Netmarble Partner Creator Plus.

2. Definitions

The meanings of the terms used in these Terms shall be as set forth in the following items.

2.1. "Netmarble Partner Creator Plus" means a program that allows creators who are approved for registration for each game provided by Netmarble to perform broadcasting, video production, and other activities specified by Netmarble in connection with the game and receive points from Netmarble.

2.2. "Creator" means a user of a game to which Netmarble Partner Creator Plus is applied who applies for creator registration in accordance with the procedures set forth by Netmarble and is registered as a Creator by Netmarble.

2.3. "Supporter" means a user of a game to which Netmarble Partner Creator Plus is applied who has registered to support the Creator of the game in accordance with the procedures set forth by Netmarble.

2.4. “Partner Point” means a point unit automatically accrued by the sponsored creator according to the standards and procedures set by the company when a supporter completes ‘payment’ for a game to which Netmarble Partner Creator Plus is applied (however, ‘payment’ excludes the use of free reward points acquired through events, etc., and discounts based on coupon use, etc.; the same applies hereinafter). Partner Points may not correspond to a currency unit.

2.5. "Creator ID" means a unique combination of letters, symbols, and numbers selected by the Creator that a Supporter enters to identify the Creator to be sponsored when registering for sponsorship.

2.6. “"Creator Coupon" means a game currency voucher or discount voucher issued separately by Netmarble to a Creator for the purpose of distribution to Supporters.

2.7. "Incentive Program" refers to a marketing program in which Netmarble grants additional benefits to Creators, such as paying additional settlement amounts according to certain conditions and criteria, for the purpose of promoting and supporting Netmarble Partner Creator Plus.

3. Clarification and Amendment of Terms

3.1. Netmarble shall post the contents of this Agreement on the initial screen of the Netmarble Partner Creator Plus homepage or equivalent so that Creators can be informed of the contents of this Agreement.

3.2. If Netmarble revises these Terms, it shall specify the date of application, revision details, and reason for revision, and notify or inform the Creator at least 7 days prior to the date of application (30 days prior for changes that are unfavorable or significant to the Creators) until a reasonable period of time has elapsed after the date of application.

3.3. If Netmarble revises the Terms, a Creator may refuse to accept the revised Terms. In this case, the Creator will not be able to use Netmarble Partner Creator Plus from the effective date of the revised Terms, and may terminate the use agreement established through these Terms at any time by applying for cancellation of Creator enrollment as stipulated in 10. Contract Termination and Operation Suspension. However, if the Creator does not expressly refuse the revised Terms by the revision date, the Creator shall be deemed to have agreed to the revised Terms.

4. Application and Enrollment of Creators

4.1. Persons who produce game content broadcasts (who meet the qualification requirements under 4.3) may apply to be a creator for each game by agreeing to these Terms of Service in accordance with the method determined by Netmarble, and Netmarble shall determine whether to approve the Creator based on its internal standards and notify the applicant of the result.

4.2. Netmarble may periodically or irregularly review the Creator's eligibility for enrollment, even after the Creator has been enrolled, and if the Creator fails to meet Netmarble's internal standards, Netmarble may request the Creator to provide explanations within a period of 15 days, review the explanations, cancel the Creator's enrollment, and terminate this Agreement.

4.3. Creators must meet the qualifications listed below.

(a) Must be over 20 years of age;

(b) Must be operating their own channel featuring themselves on YouTube or a broadcasting/video platform designated by Netmarble;

(d) Reside in a country where the game you are applying for is being serviced;

(e) Be eligible to use the game being applied for;

(f) Other eligibility requirements listed by Netmarble on the Creator application page.

4.4. If an applicant applies for creator enrollment using fraudulent methods, such as falsely notifying or recording information regarding eligibility requirements, Netmarble may immediately terminate this Agreement, regardless of whether the applicant is registered as a Creator, in which case Netmarble shall not be liable for any damages resulting from such termination.

4.5. Some services will utilize YouTube API services. YouTube’s Terms of Service can be accessed via the following link: https://www.youtube.com/t/terms.

5. Creator Obligations

5.1. Creators shall carefully check and comply with the contents of this Agreement and the Netmarble Terms of Service, Operating Policy, and other agreements entered into with Netmarble.

5.2. Creators shall not engage in any of the following activities related to Netmarble Partner Creator Plus, such as broadcasting and video production:

(a) Gambling, roulette, etc. and any acts that imitate or promote them;

(b) Acts that infringe on the rights of others, including copyrights and trademark rights;

(d) Acts that insult others, defame others, and acts that are equivalent to such acts;

(e) Sexually explicit behavior such as indecent exposure, obscene chatting, etc.;

(f) Excessive profanity, discriminatory or demeaning behavior toward disability, region, religion, race, gender, etc.;

(g) Broadcasting or uploading videos on illegal or harmful platforms;

(h) Acts that slander or criticize other Creators;

(i) Acts that damage the image of Netmarble or the games provided by Netmarble;

(j) Using another creator's account or providing the creator's account to another person;

(k) Using programs or applications not approved by Netmarble to play the game;

(l) Acts that violate current laws and regulations or are contrary to social norms and customs;

(m) Acts that violate the Netmarble Terms of Service or game-specific operating policies and other compliance matters related to game service use, or;

(n) Other acts that fall under each of the above items.

5.3. Creators may only use the Creator ID associated with their own name and may not use a Creator ID associated with another person's name or lend the Creator ID associated with their own name to another person.

5.4. Creators may not provide anything other than Creator Coupons to Supporters or those seeking to register as Supporters in exchange for their support.

5.5. When posting, distributing, displaying, or publicly transmitting videos and contents that expose the Creator ID by uploading, broadcasting, posting, etc., the Creator shall display that the contents are advertisements as proper method for the characteristics of each medium in accordance with all relevant local and national laws. If any damage is caused to Netmarble or its affiliated companies due to violation of this provision, the Creator shall compensate the company for all damages caused by such damage.

5.6. The Creator shall allow Netmarble to use the videos created in connection with the game for which the Creator is registered as a Creator for the purpose of promoting the game by reproducing, distributing, publicly broadcasting, and creating derivative works. However, the Creator may request Netmarble to stop using the videos upon termination of these Terms.

6. Granting of Partner Points

6.1. If a supporter purchases a product for a game to which Netmarble Partner Creator Plus is applied within the period notified through the Netmarble Partner Creator Plus website, Netmarble shall grant Partner Points to the sponsored Creator.

6.2. Partner Points are awarded differentially based on the price of the product paid by the supporter, and a limit may be set for the granting of Partner Points. However, if the supporter pays for the product through an abnormal method or refunds the product paid for, the partner points awarded based on that payment will be excluded from the settlement target and details.

6.3. The specific calculation formula for the Partner Points granted pursuant to 6.2 will be separately announced by Netmarble through the Netmarble Partner Creator Plus homepage or individually notified to the Creator. However, Netmarble may change the Partner Points calculation formula through procedures in accordance with 3. Clarification and Amendment of Terms'.

6.4. Partner Points will be granted within a reasonable period from the time the Supporter's payment is made and will automatically lapse if no application for redemption is made within one year from the date of granting. In this case, Netmarble shall not be liable for any compensation for the expired Partner Points.

6.5. If the Creator violates '5. Creator Obligations’, Netmarble may reclaim the Partner Points directly or indirectly related to such violation, regardless of whether the Creator applies for redemption.

6.6. Under no circumstances may the Creator seek redemption or compensation for Partner Points other than as provided in ‘7. Redemption of Partner Points’.

7. Redemption of Partner Points

7.1. Creators may apply to Netmarble for redemption of Partner Points they hold within the period notified through the Netmarble Partner Creator Plus website.

7.2. Netmarble shall review the redemption application and pay the redemption amount for Partner Points to the Creator within a reasonable period from the date of receipt of the redemption request pursuant to 7.1.

7.3. The redemption ratio between Partner Points and the redemption value shall be separately announced by Netmarble through the Netmarble Partner Creator Plus website or notified to the Creator individually. However, Netmarble may change the redemption ratio between Partner Points and Redemption Value through the procedure in accordance with ‘3. Clarification and Amendment of Terms'.

7.4. Creators may apply for redemption of Partner Points if their Partner Points total is 50,000 Points or more. The redemption value is calculated based on the average trading rate published by commercial banks in Korea during the season (meaning a unit of time for the operation period of Netmarble Partner Creator Plus; the specific period for each season will be announced separately on the website by Netmarble) in which redemption is applied for. The redemption value is calculated in United States Dollars (USD).

7.5. Creators must apply for redemption for all Partner Points held by them at the time of application for redemption and cannot apply for redemption in installments.

(For example, if you have 70,000 points at the time of application, you must apply for the redemption of all 70,000 points and cannot apply for the redemption of only 30,000 points.)

7.6. The redemption value described in this Article is pre-tax, and creators must pay taxes on profits redeemed from Netmarble in accordance with the laws of their country of residence. Netmarble may declare and pay relevant taxes on behalf of the Creator in accordance with tax laws, in which case Netmarble will deduct such payment from the redemption value.

7.7. The Creator shall provide Netmarble with all information (including personal information) necessary for the redemption of Partner Points and shall bear all damages arising from any false or erroneous information provided by the Creator.

7.8. Creators may not apply for redemption of Partner Points through a third party other than themselves or cause a third party to receive Redemption Compensation.

8. Penalties

8.1. If a Creator violates '5. Creator Obligations', Netmarble may suspend the granting and redemption of Partner Points to the Creator after investigating the violation and reviewing the severity of the matter.

8.2. If the review of the violation pursuant to 8.1 determines that the violation was unintentional and the impact is minor, a simple warning may be given as an alternative to suspending the granting and redemption of Partner Points.

9. Incentive Programs

9.1. Netmarble may implement Incentive Programs if it deems them necessary.

9.2. Prior to the implementation of an Incentive Program, Netmarble may receive applications from Creators to participate in the Program and may select Program participants based on internal criteria (or the public criteria if one is already available at the time of the application stage).

9.3. Netmarble will separately announce the details of the Incentive Program on the Netmarble Partner Creator Plus website or notify the Creator individually prior to the implementation of the Incentive Program.

9.4. If a Creator participates in the Incentive Program in a fraudulent manner, such as manipulation, collusion, or falsification, the Creator may be excluded from receiving benefits under the Incentive Program.

10. Contract Termination and Operation Suspension

10.1. The Creator may terminate this Agreement at any time by fulfilling the procedure for canceling the Creator's enrollment set forth by Netmarble.

10.2. If the Creator violates these Terms, Netmarble may terminate this Agreement immediately. However, if the Creator's violation is minor, Netmarble may request the correction within a reasonable period, and if the correction is not made, Netmarble may terminate this Agreement.

10.3. If Netmarble determines that it is difficult to continue operating Netmarble Partner Creator Plus for business reasons, it may set a period of 30 days or more to notify the fact and schedule of the discontinuation of Netmarble Partner Creator Plus on the initial screen of Netmarble Partner Creator Plus or by notifying the Creator individually. Following this, Netmarble may terminate the Agreement and discontinue Netmarble Partner Creator Plus. However, if there are legitimate reasons such as corrective recommendations from related organizations or creators or supporters abusing Netmarble Partner Creator Plus, Netmarble may terminate this Agreement or suspend the operation of Netmarble Partner Creator Plus without prior notice or notification, in which case Netmarble shall notify the Creator after the fact or notify the Creator individually.

10.4. Upon termination of this Agreement or discontinuation of Netmarble Partner Creator Plus, all Partner Points and Creator Coupons held by the Creator shall be immediately void, and Netmarble shall not be liable for any compensation. However, if Netmarble terminates this Agreement or suspends the operation of Netmarble Partner Creator Plus pursuant to the provisions of Paragraph 3, Netmarble shall compensate any Partner Points that have been lost because of such termination in accordance with the procedures described in ‘7. Redemption of Partner Points’.

11. Damages and Indemnification

11.1. If Netmarble or the Creator breaches any of the matters set forth in this Agreement and causes damage to the other party, the breaching party shall compensate the other party for any damages incurred.

11.2. If a dispute arises between the other party and a third party due to Netmarble or the Creator's breach of this Agreement, the breaching party shall indemnify the other party at its own risk and expense.

12. Miscellaneous

12.1. Netmarble may entrust a portion of the work related to the performance of this Agreement to a third party.

12.2. Any matters not set forth in these Terms shall be governed by other terms, operating policies, etc. concluded between Netmarble and the Creator (hereinafter referred to as "Other Terms, etc."), and in the event of a conflict between these Terms and Other Terms, these Terms shall prevail.
