These Terms of Use guide the main details of the Marblership Service, an additional benefit to be provided when a user purchases or holds Marblership NFTs provided by Marblex (hereinafter referred to as the “Company”) and services, etc. related thereto (hereinafter referred to as the “Services”)
Any buyer or holder of all Marblership NFTs and anyone who wishes to use the Services for purchasing/holding Marblership NFTs (hereinafter collectively referred to as the “User”) will be deemed to have agreed to these Terms of Use by purchasing/holding Marblership NFTs, accessing this webpage or mobile app to purchase/hold Marblership NFTs or using the Services.
NOTICE: THE SERVICES WILL BE PROVIDED ONLY TO ADULTS WHO OWN LIMITED LEGAL CAPACITY TO HOLD MARBLERSHIP NFT, AND WILL NOT BE PROVIDED TO MINORS. PURCHASE AND RETENTION OF MARBLERSHIP NFT IS ENTIRELY MADE AT USER'S OWN DISCRETION, AND YOU ACKNOWLEDGE AND AGREE THAT YOU ARE RESPONSIBLE FOR ALL RESULTS ARISING FROM SUCH RETENTION AND PURCHASE. ALL MARBLERSHIP NFT PURCHASES ARE FINAL AND NON-REFUNDABLE.
Matters not described in these Terms of Use are subject to the Marblex Wallet Terms of Service, and will be interpreted and applied accordingly.
1. Eligibility
1. Except as otherwise clearly stated in the other clauses, the Company provides services only to Users who satisfy all of the following conditions:
i) an adult who is recognized as having legal capacity to act in accordance with the laws and regulations of the region of his/her residence;
ii) A person who lawfully holds an active account in a digital wallet designated by the Company for the purchase and holding of NFTs.; and
iii) a person who purchases or holds Marblership NFT in accordance with the methods and procedures as provided or recognized by the Company
2. License
2.1 Marblership NFT is a non-fungible token that exists on the blockchain network, and the Users may exercise the license rights granted by the Company to the person who purchases or holds the NFT by acquiring such NFT through a method recognized by the Company (Including, but not limited to, purchase through Marketplace or Launchpad, Airdrop, swap, etc.) and retaining such NFT in his/her Wallet.
2.2 The User acknowledges and agrees that even if the User holds the Marblership NFT by the method stated in Section 2.1 above, the copyrights and other intellectual property rights of the contents (including, but not limited to, all copyrighted works such as artwork, photos, videos, graphics, images, etc.) included in or linked to such NFT are owned by the Company.
2.3 If you hold Marbleship NFT in your wallet in the manner described in Section 2.1, you are granted a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to the Contents (as defined in Section 2.2) included in or linked to the Marblership NFT for your personal and non-commercial use. Notwithstanding the limited license to the Contents, you are authorized to sell, transfer, or otherwise dispose of the Marblership NFT held in your wallet, provided that you are and fulfill eligibility and not in violation of these Terms. If you sell, transfer, or otherwise dispose of any Marblership NFT, the license granted to you for the Marblership NFT and Contents will automatically terminate, and you will have no rights in the Marblership NFT and Contents.
2.4 The Company may provide the Services in accordance with these Terms of Use to any User who has a license as provided for in Section 2.3 hereof. In case of violation of these Terms of Use and other related service use agreements (Wallet, MBX NFT), provision of all or part of all services, including the Services, may be suspended. This also applies to Marblership NFT holders as well as sellers and buyers in subsequent transactions, if any.
3. The Services
3.1. Marblership NFTs are classified into grades or levels. Depending on the level or grade of the Marblership NFT you own, the scope or details of the Services provided may change and the Company may notify any matters related thereto through the Services or any linked page.
3.2 The Company may provide the Services including the matters described below to the User who meets all the qualifications for use in Section 1 hereof.
3.2.1 NFT Staking: If you have Marblership NFT, you may participate in the MBX NFT service(Includes services like Staking and Swap). and receive rewards if you fulfill any required activities. Major matters related to the MBX NFTservice will apply according to the applicable service agreement.
3.2.2 Membership Community: If you have Marblership NFT, you may use membership-only community services.
3.2.3 Miscellaneous: Additional benefits (including, but not limited to, exclusive CS support, give-out of coupons for affiliate games, etc.) for Marblership NFT holders can be provided.
3.3 The Company reserves the right to change, delete or add all or part of the service at its own discretion. In addition, the Company may configure the Services, including contents provided by third parties through partnerships or contracts, and the User acknowledges and agrees that all or part of the Services may be changed, added or deleted due to changes in partnerships or contracts or based on the judgment of related third parties.
3.4 The Company may notify the details of above Section 3.3 through the Services or any linked page.
4. Suspension of and Changes to the Services
4.1 The Company reserves the right to add, change or otherwise delete the Services at its sole discretion and judgment. In addition, the User acknowledges and agrees that the Company is already making such addition, change or deletion.
4.2 The Services are provided as an ancillary benefit for those who hold Marblership NFTs and do not constitute Marblership NFT. The User acknowledges and agrees that the provision of the Services is not permanent and the Company does not make any guarantees in this regard.
5. Limitation of Liability
5.1 The Company does not predict or guarantee changes in the profit/loss or value of User's digital assets (including, but not limited to, NFTs, Tokens, etc.) and is not responsible for the results thereof. The User acknowledges and agrees that he/she is responsible for all consequences of using the Services and that the User cannot claim any compensation or hold the Company liable for any such loss.
5.2 In case of any transaction (i.e., sale or purchase) of Marblership NFTs between the Users through the Marketplace(Includes Marblex and 3rd party offerings), the User must directly check and judge whether there is an abnormality in the blockchain network and the authenticity of the Marblership NFT information, and the User acknowledges and agrees that all consequences arising from such transaction are entirely the responsibility of himself/herself.
5.3 There could be any partial or complete restriction on the use of digital assets (including, but not limited to, NFTs, Tokens, etc.) in accordance with the laws of the region you are in, and you acknowledge and agree to such fact. The Company does not compensate for any restrictions on the purchase, possession or use of Marblership NFTs caused by any legal reasons, nor guarantee that the of digital asset you have will continue to be available in the future. You acknowledge and agree to the above.
5.4 The Company does not guarantee the complete integrity of the blockchain network, and does not compensate or take responsibility for the consequences of disruptions or errors in the blockchain network.
5.5. You cannot purchase or hold Marblership NFTs for the purpose of investment, and all information provided in the Services is not considered an offer to conclude a contract for investment purposes. You acknowledge and agree that you are solely responsible for any consequences arising from the purchase and retention of Marblership NFTs.
5.6 Marblership NFT is not considered a means of payment, and the company prohibits the use of NFT as a means of payment.
5.7 The User acknowledges and agrees that the Company does not guarantee the permanent provision of the Services and such provision of the Services are subject to change, and that the Company does not guarantee or compensate for the consequences arising out of addition, change, or deletion of the Services.
6. Jurisdiction, Governing Law and Dispute Resolution
Any dispute or claim arising out of or in connection with these Terms of Use shall be governed by and construed in accordance with the laws of Singapore regardless of any choice of laws or conflict of law principles. Any dispute arising out of or relating to these Terms of Use shall be finally submitted to the exclusive jurisdiction of an arbitral award in accordance with the Arbitration Rules of the Singapore International Arbitration Center ("SIAC"). Matters not described in these Terms of Use will be interpreted and applied according to the Marblex Wallet Terms of Service.
